Official Terms of Service & Acceptable Use Agreement

0. Preamble & Scope of Agreement

This Terms of Service Agreement (“Agreement”) governs your access to and use of all hosting and related services (“Services”) provided by APT COM Hosting (operated by MTI Trading) (“APT COM,” “we,” “us,” or “our”). By purchasing, activating, or using any Service, you (“Customer,” “you,” or “your”) agree to be legally bound by this Agreement.

If you do not agree with any part of this Agreement, you must discontinue use of the Services immediately.

1. Agreement Term and Modifications

This Agreement takes effect on the date you first purchase or activate any Service and remains in force for as long as you use our Services.

APT COM reserves the right to modify this Agreement at any time. We will notify you of material changes via email or by posting an updated version to our website. Your continued use of the Services after any modification constitutes your acceptance of the updated terms.

2. Account Registration and Accurate Information

You agree to provide complete, accurate, and up-to-date information when registering for any Service. You are responsible for keeping your account details current at all times.

Specifically, you agree to:

• Notify APT COM within five (5) business days of any change to your registered information.
• Respond to APT COM verification inquiries within five (5) business days. Failure to respond constitutes a material breach of this Agreement.
• Not provide false, misleading, or incomplete information. APT COM reserves the right to suspend or terminate any account where information is found to be inaccurate.

3. Privacy Policy

Our Privacy Policy is incorporated into this Agreement by reference and governs the collection, use, and protection of your personal information. By using our Services, you acknowledge and agree to our Privacy Policy.

You represent and warrant that any third-party personal data you provide to APT COM has been collected with appropriate notice and consent from the individuals concerned, in compliance with all applicable data protection laws.

4. Acceptable Use Policy (AUP)

All Services must be used for lawful purposes only, in compliance with applicable laws of Bangladesh (including the Digital Security Act and ICT Act) as well as any other jurisdiction relevant to the Customer’s use of the Services. Our full Acceptable Use Policy is incorporated by reference. APT COM maintains a zero-tolerance policy toward the exploitation or abuse of minors in any form (see Section 4.2). The following uses are strictly prohibited:

4.1 Network and Security Violations

• Unauthorized access to APT COM systems, other customers’ accounts, or any third-party servers.
• Denial-of-service (DoS/DDoS) attacks, port scanning, or other disruptive activities against any network host.
• Execution of malicious code, viruses, ransomware, trojans, or any software designed to compromise systems.
• Forging identities, impersonating others, or engaging in deceptive activities.

4.2 Content Restrictions

You may not use APT COM Services to host, transmit, store, distribute, or link to:

• Child Sexual Abuse Material (CSAM) — Zero Tolerance. Any content that depicts, promotes, facilitates, or otherwise relates to the sexual exploitation or abuse of minors, including but not limited to child pornography and sexually suggestive material depicting children, regardless of format or medium. Any account found in violation will be suspended and terminated immediately, without prior notice and without refund. APT COM reserves the right to preserve relevant account data and will report such content, along with any identifying customer information, to the National Center for Missing & Exploited Children (NCMEC), Bangladesh law enforcement authorities, and/or other relevant regulatory bodies, as required by applicable law.
• Content that infringes any copyright, trademark, patent, or other intellectual property right.
• Nudity, pornography, or adult content of any kind.
• Hate speech or content targeting individuals or groups based on race, religion, ethnicity, or similar characteristics.
• Content that violates the Digital Security Act, ICT Act, or any other applicable law of Bangladesh.
• Gambling, casino, or lottery services.
• Malware, warez, or illegal software distribution.
• Phishing, scam, or fraudulent content.
• Content promoting illegal activities, including controlled substance sales without proper licensing.

4.3 Email and Messaging

• Sending unsolicited bulk email (spam) or participating in mail bombing.
• Making illegal communications via newsgroups, mailing lists, or chat platforms.

4.4 Prohibited Applications

The following applications and services are not permitted on our infrastructure:

• IRC bots, torrent trackers or portals, streaming services exceeding plan limits.
• High-Yield Interest Programs (HYIP), FOREX, e-gold exchanges, or similar investment schemes.
• Bitcoin miners or cryptocurrency mining software.
• IP scanners, brute-force tools, mail bombers, or spam scripts.
• AutoSurf, traffic exchange, or click-fraud services.

4.5 Fair Usage and Resource Limits

Shared, reseller, and unlimited hosting plans are subject to fair usage. APT COM reserves the right to throttle, limit, suspend, or migrate any account that consumes excessive CPU, RAM, I/O, inodes, or other shared server resources in a way that negatively affects other customers, regardless of whether the account remains within its stated storage or bandwidth allowance. APT COM will make reasonable efforts to notify the Customer before taking action, except where immediate action is required to protect server stability.

APT COM reserves the sole right to determine what constitutes a violation of this policy and to determine the appropriate corrective action, including immediate suspension or termination without refund. Accounts suspended for more than 14 calendar days may be permanently terminated and all data permanently deleted.

5. Storage, Security, and Data Responsibility

You bear full responsibility for the security, integrity, and backup of all data stored on your hosting account. APT COM is not a data backup or archival service.

Your responsibilities include:

• Maintaining independent backup copies of all content and data.
• Ensuring the confidentiality of your account password and login credentials.
• Preventing unauthorized access to your account.
• Ensuring that content transmitted through or stored on APT COM servers complies with all applicable laws.

APT COM reserves the right to delete files or archives that negatively impact server performance without prior notice. APT COM services are not PCI DSS compliant environments and must not be used for payment card data storage without additional compliance measures.

5.1 Data Retention After Cancellation or Termination

Upon cancellation or termination of a Service, whether by the Customer or by APT COM, all account data (including files, databases, and emails) may be permanently deleted after seven (7) days for shared/reseller hosting and thirty (30) days for VPS/dedicated servers, unless a longer retention period is required by law or separately agreed in writing. APT COM is under no obligation to retain, recover, or provide data after these periods, and is not liable for any loss resulting from such deletion. Customers are strongly advised to take a final backup before or immediately upon cancellation.

6. Intellectual Property

All trademarks, service marks, logos, software, platforms, control panels, and other proprietary materials made available through our Services are and remain the exclusive property of APT COM or its licensed partners. You receive no ownership rights in any such materials.

Any derivative works you create using APT COM-provided software or materials automatically vest in APT COM. This Agreement does not transfer any intellectual property rights to you, expressly or by implication, beyond the limited license granted herein.

7. Software License

Subject to your compliance with this Agreement, APT COM grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use APT COM software solely for the ordinary and customary operation of your hosting account.

You may not:

• Modify, adapt, or create derivative works from APT COM software.
• Reverse engineer, decompile, or attempt to extract source code.
• Combine APT COM software with third-party programs or plugins without express written consent.
• Transfer, sublicense, or assign this license to any third party.

All software is provided “AS IS” without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

8. Third-Party Software and Applications

APT COM may make third-party software available for account management purposes, including but not limited to cPanel, CyberPanel, CWP, and Google services. Such tools are provided on an “as-is, as-available” basis, and APT COM does not guarantee specific outcomes from their use.

By using third-party software through our platform, you agree to the applicable third-party terms of service. For example, ordering cPanel constitutes explicit agreement with cPanel’s end-user license. You are solely responsible for all third-party licensing fees beyond initial account setup.

APT COM reserves the right to suspend, alter, or revoke access to any third-party tool at any time, with or without notice, at its sole discretion.

9. Billing and Payment

All fees are payable in BDT and US Dollars in accordance with the fee schedule in effect at the time of your order. Fees for renewal periods are due on the first day of each renewal term.

Key billing terms:

• Overdue balances accrue a debt service charge of 1.5% per month until paid.
• APT COM may suspend or terminate services if payment is not received by the due date.
• A grace period of seven (7) days may be granted for shared hosting accounts and three (3) days for VPS and dedicated servers, at APT COM’s sole discretion.
• A $15.00 reinstatement fee applies to any account that has been suspended or terminated.
• If you signed up for automatic renewal, APT COM will charge your designated payment method at the then-current rates when your plan renews.
• Chargebacks: Initiating a chargeback or payment dispute without first contacting APT COM support constitutes a material breach of this Agreement. Upon receipt of a chargeback notice, APT COM will immediately suspend the affected account(s) pending investigation, and may permanently terminate the account and restrict the Customer’s ability to purchase or transfer any APT COM service in the future. A chargeback investigation fee may apply in addition to the disputed amount.

All applicable taxes, VAT, and governmental charges are your sole responsibility.

10. Cancellation and Refund Policy

You may cancel your Services by submitting a helpdesk ticket under the Billing category at least three (3) business days before your renewal date.

10.1 Money-Back Guarantee

The following accounts are eligible for a refund only if cancelled within the specified period after initial sign-up:

• Shared Hosting: Eligible for a 3-day money-back guarantee for first-time accounts.
• VPS & Dedicated Servers: Non-refundable under any circumstances due to setup and license costs.

No refund will be issued if the cancellation request falls outside the applicable guarantee period.

10.2 Non-Refundable Items

Regardless of when a cancellation occurs, the following are non-refundable:

• Domain name registrations and transfers.
• SSL certificates, once issued.
• One-time setup or configuration fees.
• Dedicated IP addresses, once assigned.
• Third-party software licenses (e.g., cPanel, WHMCS, Softaculous) purchased at additional cost.
• Backup services, additional storage, and extra bandwidth once allocated.
• Security services (DDoS protection, malware scanning) once activated.
• Custom development, design, or consulting services.
• Any service purchased on promotion or sale.

11. Customer Support

APT COM provides customer support for issues directly related to our Services at no additional charge. Support is available exclusively through the HelpDesk system in your customer portal, via Live Chat or Support Ticket.

Important support policies:

• APT COM is not obligated to respond to support requests submitted through any channel other than the official HelpDesk system.
• You are responsible for selecting the correct ticket category. APT COM is not liable for delays caused by miscategorized tickets.
• Before requesting support, you must maintain a current backup of your data. APT COM is not responsible for data loss resulting from support operations.
• Abuse of the HelpDesk system — including excessive tickets, aggressive communication, or repetitive misuse — may result in access restrictions, account suspension, or termination.

For VPS and Dedicated Servers under User-Responsible or Basic Management plans, APT COM may assess a preliminary server check before determining whether to provide support. If support is provided, it will be billed at the rates listed on our Server Management page.

12. Legal and Authorized Use

All Services must be used strictly for lawful purposes under applicable Bangladeshi law and any other international, federal, state, or local laws relevant to the Customer’s use of the Services. APT COM provides hosting infrastructure; it is not responsible for the legal compliance of your website content or business operations.

APT COM reserves the right to refuse service, suspend, or terminate any account whose content or operations are deemed illegal, misleading, obscene, or otherwise in violation of this Agreement or our AUP, at our sole discretion.

13. Copyright, DMCA, and Abuse Complaints

APT COM is a technical infrastructure provider. We do not create, review, monitor, or control the content published by our customers. All legal and moral responsibility for hosted content rests solely with the account holder.

• DMCA Notices: Upon receipt of a valid DMCA notice, APT COM reserves the right to immediately suspend or terminate the relevant account without prior notice.
• Abuse Complaints: APT COM may suspend an account within one (1) hour of receiving a credible abuse complaint, including reports of spam, phishing, or illegal content.
• Child Sexual Abuse Material (CSAM) Reports: Reports involving CSAM will result in immediate account suspension upon receipt, without the standard one-hour review period applicable to other abuse complaints, and will be reported to appropriate law enforcement and child-safety organizations, including NCMEC.
• Repeat Violations: Any account that receives three (3) or more copyright, DMCA, or abuse complaints will be subject to permanent termination, regardless of whether individual complaints are resolved.

You agree to fully indemnify APT COM for all costs, damages, legal fees, and penalties arising from any third-party claims related to content hosted under your account.

14. Limitation of Liability

APT COM provides all Services on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, APT COM expressly disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. APT COM does not guarantee any specific uptime percentage unless expressly stated in a separate, signed Service Level Agreement (SLA).

APT COM is not liable for:

• Service interruptions, access delays, or outages caused by events outside APT COM’s reasonable control.
• Loss, corruption, or destruction of data.
• Unauthorized access to or misuse of your account credentials.
• Interruption of your business operations resulting from service downtime.
• Acts of God, natural disasters, war, terrorism, or government action.

In no event shall APT COM’s total aggregate liability to you exceed the total amount you paid for the specific Service that gave rise to the claim. All causes of action against APT COM must be filed within one (1) year from the date the cause of action accrued, or they are permanently barred.

15. Indemnification

You agree to defend, indemnify, and hold harmless APT COM, its officers, directors, employees, agents, affiliates, and assigns from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

• Your breach of any provision of this Agreement.
• Your use of the Services, including any content you upload, transmit, or host.
• Any infringement of intellectual property rights by you or through your account.
• Inaccurate, false, or misleading information you provided to APT COM.
• Any negligence or willful misconduct by you.

Upon notice of any legal claim, you agree to promptly notify APT COM, cooperate fully in any defense, and allow APT COM the right to participate in proceedings through counsel of its choosing.

16. APT COM Reserved Rights

APT COM expressly reserves the right to deny, cancel, suspend, or modify access to any account or Service at any time, in its sole discretion, including for reasons such as:

• Correcting errors in Service delivery or domain name registration.
• Fraud and abuse detection and prevention.
• Compliance with applicable laws, regulations, or law enforcement requests.
• Defense against legal action or threatened legal action.
• Avoiding civil or criminal liability for APT COM or its personnel.

Service fees may continue to accrue during any investigation of potential violations, and you remain responsible for all amounts due during such period.

16.1 Service and Product Discontinuation

APT COM reserves the right to discontinue, deprecate, or modify any hosting plan, feature, or product at its sole discretion. Where reasonably possible, APT COM will provide Customers with at least thirty (30) days’ notice before discontinuing an active plan, and will offer a comparable alternative plan where available. This does not apply to emergency discontinuation required for security, legal, or operational reasons.

17. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the People’s Republic of Bangladesh, without regard to conflict of law principles. You agree that any legal action arising from this Agreement or your use of the Services must be filed exclusively in the courts having jurisdiction over Chattogram, Bangladesh.

18. Force Majeure

Neither party will be in default for any delay or failure to perform obligations caused by circumstances beyond their reasonable control, including natural disasters, acts of God, war, terrorism, government action, labor disputes, or supplier failures. The affected party must provide written notice within five (5) days of discovering such an event and take all reasonable steps to mitigate its effects. If a force majeure event persists for more than thirty (30) days, APT COM may terminate this Agreement immediately.

19. Currency and Pricing

All transactions are processed in US Dollars and/or Bangladeshi Taka. APT COM may display estimated prices in other currencies for convenience only. Due to exchange rate fluctuations, the actual charged amount may differ from the displayed estimate. You waive any claim based on such discrepancies. VAT or other applicable taxes will be shown during checkout based on your billing address.

20. Communications and Marketing

By creating an account, you agree to receive service-related communications from APT COM (billing notices, security alerts, renewal reminders, policy updates) via email or SMS; these cannot be opted out of while your account is active. APT COM may also send occasional promotional or marketing communications, which you may opt out of at any time without affecting your Service.

21. Reseller Hosting Terms

If you purchase a Reseller Hosting plan, the following additional terms apply:

• You are solely and fully responsible for all content, conduct, billing, and support relating to your own sub-customers (“end users”). APT COM has no direct contractual relationship with your end users.
• You agree to enforce terms with your end users that are at least as protective of APT COM as this Agreement, including prohibitions on the content and activities listed in Section 4.
• Any violation of this Agreement by an end user (including but not limited to CSAM, malware, spam, or abuse) will be treated as a violation by you, the reseller account holder, and may result in suspension or termination of your entire reseller account, not just the offending end-user’s account.
• APT COM is not responsible for disputes, refunds, or service-level commitments between you and your end users.

22. General Provisions

22.1 Entire Agreement

This Agreement, together with the AUP, Privacy Policy, and all other documents incorporated by reference, constitutes the entire agreement between you and APT COM and supersedes all prior agreements or understandings.

22.2 Amendments

No amendment to this Agreement by you is valid unless made in writing and signed by an authorized representative of APT COM.

22.3 Assignment

You may not assign or transfer your rights under this Agreement without APT COM’s prior written consent. APT COM may assign its rights and obligations freely.

22.4 Severability

If any provision of this Agreement is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions will continue in full force.

22.5 No Agency

Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between you and APT COM.

22.6 No Waiver

Failure by APT COM to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

22.7 Legal Age

By entering into this Agreement, you confirm that you are at least 18 years of age and legally capable of forming a binding contract.

22.8 Notices

All notices from APT COM to you will be sent to the contact information in your account profile. You are responsible for keeping this information current.
